Terms of Service

This platform is operated by Zolvari Technologies, LLC ("Zolvari").

1. Acceptance of Terms

By accessing or using the SevenTwelvez platform, including our website, API, and associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

SevenTwelvez is a Performance Creative OS that empowers brands and buyers with vetted micro-producers to create performance creative content on demand. The platform facilitates the ordering of creative packs, automated and human quality control (QC) fulfillment, secure payment processing via Stripe, and affiliate acquisition tracking.

3. User Accounts & Roles

To use certain features of the Service, you must register for an account. We offer several account types:

• Buyers: Users who purchase creative packs, provide specifications, and receive finalized video assets.
• Creators: Vetted producers who accept orders, film content, and submit deliverables subject to platform QC.
• Affiliates: Marketing partners who promote SevenTwelvez and earn commissions via a Cost Per Action (CPA) model on validated conversions.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Payment Terms

All payments on the SevenTwelvez platform are processed securely via Stripe.

4.1 Orders and Funds Holding

When a Buyer reserves a creative pack or Founder slot, the total order amount is captured immediately. Funds are held in escrow pending the successful fulfillment of the order.

4.2 Fee Split

Unless otherwise specified in a custom enterprise agreement, standard order funds are split as follows (calculated after Stripe processing fees):

• Platform Fee: 45% retained by SevenTwelvez for operations, software, and AI/human QC.
• Creator Reserved: 50% allocated to the Creator fulfilling the order.
• Protection Reserve: 5% allocated to a platform reserve ledger to fund disputes, refunds, and fallback producers.

5. Refund & Dispute Policy

SevenTwelvez guarantees quality through rigorous AI and human QC checks.

5.1 Acceptance Window

Upon delivery of QC-passed content, the Buyer has a 7-day acceptance window to review the deliverables. If the content does not meet the initial specifications, the Buyer may request a revision.

5.2 Money-Back Guarantee

If the Creator fails to deliver, or if the final product fails to meet the agreed-upon brief after permitted revisions and platform fallback routing (backup producers or studio fallback), the Buyer is entitled to a full refund, funded primarily via our protection reserve.

6. Intellectual Property

Pre-Acceptance: Creators retain ownership of raw footage and drafts until final delivery and acceptance.

Post-Acceptance: Upon the Buyer's acceptance of the final deliverables (or expiration of the 7-day acceptance window without dispute), all intellectual property rights, including commercial usage rights and copyright, are permanently and irrevocably transferred to the Buyer.

7. Creator Terms

Creators must apply and be approved by SevenTwelvez before accepting orders.

7.1 Fulfillment and Quality Control

Creators agree to deliver content meeting the exact specifications (format, duration, hooks, captions) by the assigned deadline. All deliverables are subject to our automated AI QC engine and human review. Substandard submissions may result in auto-rejection, requirement to rework, or routing to a backup producer.

7.2 Payout Schedule

Creator payouts are staged to ensure quality:

• Partial Payout: 50% of the Creator Reserved amount is released upon the deliverable passing our internal QC.
• Final Payout: The remaining 50% is released after Buyer acceptance or upon the expiration of the 7-day acceptance window.

8. Affiliate Terms

Affiliates participate on a strict CPA model. Affiliates must front their own ad spend. SevenTwelvez pays out commissions only on server-side validated conversions that match Stripe checkout sessions.

Affiliate payouts are subject to a hold period matching the Buyer's acceptance window to prevent fraud and account for potential refunds. Suspicious conversion patterns (e.g., velocity anomalies, high refund rates) will trigger fraud investigations and potential forfeiture of commissions.

9. Prohibited Conduct

You agree not to:

• Submit fraudulent applications, payment information, or affiliate postbacks.
• Circumvent the platform by arranging payments or communications with Buyers/Creators outside of SevenTwelvez.
• Upload content that is illegal, defamatory, obscene, or infringes on third-party intellectual property rights.
• Attempt to reverse engineer, disrupt, or hack the SevenTwelvez platform, API, or QC engine.

10. Limitation of Liability

To the maximum extent permitted by law, SevenTwelvez shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service, unauthorized access to your data, or the performance of creatives delivered through the platform.

11. Indemnification

You agree to indemnify and hold harmless SevenTwelvez, its officers, directors, and employees, from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal actions must be brought exclusively in the federal or state courts located in Delaware.

13. Termination

SevenTwelvez reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or threatens the integrity of the platform.
