Terms of Service

This platform is operated by Zolvari Technologies, LLC ("Zolvari").

1. Acceptance of Terms

By accessing or using the SevenTwelvez platform, including our website, API, and associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

SevenTwelvez is an autonomous performance creative infrastructure that unifies creator labor, capital allocation, compliance, attribution, optimization, and settlement into one closed-loop system. The platform facilitates the ordering of creative packs, automated and human quality control (QC) fulfillment, secure payment processing via Stripe, and affiliate acquisition tracking.

SevenTwelvez is a technology platform that connects independent creators with brands. We are not an employer of creators, we do not guarantee the delivery of services by creators, and we are not liable for any failure by a creator to complete an order. SevenTwelvez acts solely as an intermediary marketplace facilitating connections between independent parties.

3. User Accounts & Roles

To use certain features of the Service, you must register for an account. We offer several account types:

• Buyers: Users who purchase creative packs, provide specifications, and receive finalized video assets.
• Creators: Vetted producers who accept orders, film content, and submit deliverables subject to platform QC.
• Affiliates: Marketing partners who promote SevenTwelvez and earn commissions via a Cost Per Action (CPA) model on validated conversions.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Payment Terms

All payments on the SevenTwelvez platform are processed securely via Stripe.

4.1 Orders and Funds Holding

When a Buyer reserves a creative pack or Founder slot, the total order amount is captured immediately. Funds are held in escrow pending the successful fulfillment of the order.

4.2 Fee Split

Standard order funds are split based on your subscription tier (calculated after Stripe processing fees):

• Growth: 22% Platform (includes 5% protection reserve) / 78% Creator
• Performance: 20% Platform (includes 5% protection reserve) / 80% Creator
• Infrastructure: 18% Platform (includes 5% protection reserve) / 82% Creator
• Enterprise Custom: 15% Platform (includes 5% protection reserve) / 85% Creator (negotiated)

Note: The 5% protection reserve is carved from the platform's share, not the creator's. Creator receives the full remainder.

Ad Spend Management Fees: Growth 3%, Performance 5%, Infrastructure 4%, Enterprise 5%.

4.3 Transaction Fees

The following platform transaction fees apply: Exchange brief posting $49, bid selection 8%, licensing 30%, whitelisting $49/creator/mo, ad launch $29 (Performance), instant payout 2%, reinvestment admin 5%, escrow admin 1%, agency invoice 2%, credit loading 2%, localization $29/variant, revenue sharing distribution 10%, bounty collection 70/30, advance origination 5%.

5. Billing, Subscription, & Account Lifecycle

5.1 Billing & Payment Terms

Plan Tiers: Starter ($2,497/mo or $24,970/yr), Growth ($4,997/mo or $49,970/yr), Performance ($9,997/mo or $99,970/yr), Infrastructure ($19,997/mo or $199,970/yr), and Enterprise Custom ($29,997+/mo).

Seats: Starter (2 seats), Growth (3 seats), Performance and above (unlimited seats). Additional team seats are available for $29/seat per month.

Accepted payment methods: Credit Card (for Starter, Growth, Performance, Infrastructure plans), ACH (for Infrastructure, Enterprise Custom plans), and Invoice Billing (for Performance, Infrastructure, Enterprise Custom plans).

Invoice billing qualification requirements: To qualify for invoice billing, you must provide your company legal name, EIN/tax ID, AP contact, billing address, finance contact, requested terms, and PO number.

Billing Cycles & Renewal: Subscriptions are billed on monthly or annual cycles. All subscriptions automatically renew at the end of the billing cycle unless canceled in accordance with our cancellation policy.

5.2 Subscription States & Lifecycle

• active: Subscription is in good standing.
• payment_due: Payment is pending or the invoice due date is approaching.
• grace_period: Payment has failed or was missed, resulting in restricted service access.
• suspended: Account is locked due to prolonged non-payment.
• canceled: Subscription has been explicitly terminated by the user.
• terminated: Account permanently closed by SevenTwelvez.
• sandbox_expired: Trial or sandbox access has ended.

5.3 Failed Payment Flow

Credit Card:

• Failure 1: System retries in 24 hours.
• Failure 2: System retries in 72 hours.
• Failure 3 (Day 7): Account enters grace_period (no new launches, routing, or scaling).
• Failure 4 (Day 14): Account enters suspended state.

Invoice:

• Due date missed: Account enters payment_due.
• Day 5: Reminder issued.
• Day 10: Escalation to finance contact.
• Day 15: Account enters grace_period.
• Day 30: Account enters suspended state.
• Day 45: Account escalated for collections review.

5.4 Grace Period Restrictions

During a grace_period, the following restrictions apply:

• Allowed: Dashboard access, data export, invoice payment, and historical review.
• Blocked: New campaigns, routing, scaling, creator execution refresh, and automation workflows.

5.5 Cancellation Policy

• Starter/Growth/Performance Monthly Plans: Requires 7 days notice before renewal. No prorated refunds are provided. Service remains active until the current cycle ends.
• Annual: Requires 30 days notice before renewal. No mid-term refunds are provided.
• Enterprise Custom: Requires 90-day written notice and incurs a 25% early termination fee.
• Downgrades: Take effect on the next billing cycle. You must reduce usage or purchase overages if limits are exceeded.

5.6 Data Retention

Account data is retained for 12 months after cancellation, after which it is securely archived. This includes campaign history, performance data, creator history, trust packets, and audit logs.

5.7 Reactivation

Reactivation of a suspended or gracefully degraded account is allowed upon successful payment, invoice settlement, or providing an updated billing method. Reactivation restores campaign configurations, autonomy settings, execution capabilities, and sandbox state.

5.8 Checkout Disclosure

By proceeding with any purchase, users are required to acknowledge and agree to the following terms: "I acknowledge billing terms, cancellation policy, renewal conditions, execution limits, and service restrictions."

6. Refund & Dispute Policy

SevenTwelvez guarantees quality through rigorous AI and human QC checks.

6.1 Acceptance Window

Upon delivery of QC-passed content, the Buyer has a 7-day acceptance window to review the deliverables. If the content does not meet the initial specifications, the Buyer may request a revision.

6.2 Money-Back Guarantee

If the Creator fails to deliver, or if the final product fails to meet the agreed-upon brief after permitted revisions and platform fallback routing (backup producers or studio fallback), the Buyer is entitled to a full refund, funded primarily via our protection reserve.

7. Intellectual Property

Pre-Acceptance: Creators retain ownership of raw footage and drafts until final delivery and acceptance.

Post-Acceptance: Upon the Buyer's acceptance of the final deliverables (or expiration of the 7-day acceptance window without dispute), all intellectual property rights, including but not limited to commercial usage rights, reproduction rights, and copyright for the agreed scope of work, are permanently and irrevocably transferred to the Buyer. The Creator may not later claim that the Buyer or SevenTwelvez used their content without permission.

8. Creator Profile Ownership and Data Rights

All data, scores, metrics, and reputation indicators generated through platform activity, including but not limited to the Creator Profile, Credit Bureau scores, genome trait data, performance history, and trust metrics ("Platform-Generated Data"), are the exclusive intellectual property of Zolvari Technologies, LLC. Platform-Generated Data may not be exported, reproduced, transferred, or used outside the SevenTwelvez platform without express written consent. Creators may obtain a verified summary document for personal records at the published rate. The live Passport remains the property of SevenTwelvez and serves as the authoritative, verifiable record of a creator's platform reputation.

9. Creator Terms

Creators must apply and be approved by SevenTwelvez before accepting orders.

9.1 Fulfillment and Quality Control

Creators agree to deliver content meeting the exact specifications (format, duration, hooks, captions) by the assigned deadline. All deliverables are subject to our automated AI QC engine and human review. Substandard submissions may result in auto-rejection, requirement to rework, or routing to a backup producer.

9.2 Payout Schedule

Creator payouts are staged to ensure quality:

• Partial Payout: 50% of the Creator Reserved amount is released upon the deliverable passing our internal QC.
• Final Payout: The remaining 50% is released after Buyer acceptance or upon the expiration of the 7-day acceptance window.

9.3 Independent Contractor Status

By registering as a Creator on SevenTwelvez, you acknowledge and agree that you are an independent contractor. You are not an employee, agent, or representative of SevenTwelvez or of any Buyer on this platform. SevenTwelvez does not control the manner, method, or means by which you perform your services.

9.4 Order Acceptance and Forfeiture

Accepting an order is a binding commitment to deliver by the specified deadline. By clicking 'Accept Order,' you confirm you will deliver by the stated deadline and understand that failure to deliver may result in account suspension and forfeiture of any advance earned. If you accept an order and fail to deliver or communicate within the delivery window, you forfeit any payout claim on that order. Your reliability score will be reduced. Three forfeitures will result in automatic account suspension.

10. Affiliate Terms

Affiliates participate on a strict CPA model. Affiliates must front their own ad spend. SevenTwelvez pays out commissions only on server-side validated conversions that match Stripe checkout sessions.

Affiliate payouts are subject to a hold period matching the Buyer's acceptance window to prevent fraud and account for potential refunds. Suspicious conversion patterns (e.g., velocity anomalies, high refund rates) will trigger fraud investigations and potential forfeiture of commissions.

11. Prohibited Conduct

You agree not to:

• Submit fraudulent applications, payment information, or affiliate postbacks.
• Non-Circumvention: Users who have been connected through the SevenTwelvez platform may not engage in direct commercial transactions outside the platform for a period of twelve (12) months following their last on-platform interaction. Violations of this provision entitle SevenTwelvez to the production fee that would have been earned on the circumvented transaction, calculated at the violating party's applicable take rate. Violations may also result in: for Creators, an automatic strike and passport freeze; for Buyers, account suspension and invoice for the owed platform fee; for both parties, a permanent notation on their platform record. Direct contact exchange through platform messaging, including but not limited to sharing email addresses, phone numbers, social media handles, or external communication channels, is prohibited and subject to automated detection and enforcement.
• Upload content that is illegal, defamatory, obscene, or infringes on third-party intellectual property rights.
• Attempt to reverse engineer, disrupt, or hack the SevenTwelvez platform, API, or QC engine.

12. Limitation of Liability

To the maximum extent permitted by law, SevenTwelvez shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service, unauthorized access to your data, or the performance of creatives delivered through the platform. In no event shall SevenTwelvez's total aggregate liability to you for all claims arising out of or relating to this Agreement exceed the total amount paid by you to SevenTwelvez in the twelve (12) months immediately preceding the event giving rise to such claim.

13. Indemnification

You agree to indemnify and hold harmless SevenTwelvez, its officers, directors, and employees, from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any dispute arising from the use of this platform shall first be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in North Carolina. You agree to waive any right to a jury trial.

15. Termination

SevenTwelvez reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or threatens the integrity of the platform.
